Paystack Index is currently in a beta testing phase. As a beta product, Index may be subject to frequent updates, temporary service interruptions, or changes in functionality. By using the service during this beta phase, you acknowledge that Index is provided “as is” and “as available,” and you agree to provide feedback as we continue to improve the service. We reserve the right to modify or discontinue any part of the service at any time without notice.
These Terms of Service (“Terms”) govern your access to and use of Paystack Index (“Index”), a service provided by Paystack Payments Limited (“Paystack”, “we”, “us”, or “our”).
By accessing or using Index, you agree to be bound by these Terms and our Privacy Policy, which are incorporated into these Terms by reference. If you do not agree to these Terms and the Privacy Policy, you must not use Index.
1. Eligibility
To use Index you must:
- Be at least eighteen (18) years old with legal capacity to accept these Terms
- Accept these Terms and read our Privacy Policy
- Comply with the applicable laws of the Federal Republic of Nigeria
2. AI Agent integration and liability
This section governs the integration of AI Agents with Index and the allocation of liability for actions performed by such agents.
Appointment of AI Agent. The User may authorise one or more AI Agents to interact with Paystack Index on the User’s behalf. The User acknowledges and agrees that: (a) the AI Agent acts solely as the User’s tool and representative; (b) actions taken by the AI Agent within the authority granted by the User shall be deemed actions taken directly by the User; (c) Paystack Index is entitled to rely on instructions received from an authenticated AI Agent without independently verifying the User’s intent for each transaction.
Delegation of authority. By connecting an AI Agent to Paystack Index, the User grants the AI Agent authority to perform activities authorised by the User, including: (a) searching for products or services; (b) requesting quotations; (c) placing orders; (d) initiating payments; (e) communicating with merchants; (f) managing subscriptions or recurring purchases; (g) performing other activities expressly enabled by Paystack Index. The scope of authority granted to an AI Agent shall be determined by the permissions configured by the User.
User responsibility for agent actions. The User is solely responsible for: (a) configuring and supervising AI Agents; (b) establishing spending limits and approval requirements; (c) monitoring transactions initiated by AI Agents; (d) maintaining the security of credentials, API keys, authentication tokens, and connected accounts. The User accepts all financial obligations arising from transactions validly initiated by an authenticated AI Agent acting within the permissions granted by the User.
Authority verification and reliance. Paystack Index may rely upon: (a) authentication credentials; (b) cryptographic signatures; (c) delegated authorisation tokens; (d) MCP permissions; (e) account-level controls, as conclusive evidence that an AI Agent has authority to act on behalf of the User. Paystack Index is under no obligation to verify whether a particular instruction was specifically reviewed or approved by a human before execution.
Allocation of liability. The User bears all responsibility and liability arising from: (a) errors made by the User’s AI Agent; (b) hallucinations, inaccurate recommendations, or defective outputs generated by the AI Agent; (c) purchases made by the AI Agent within the authority granted by the User; (d) failure of the User to properly supervise the AI Agent. Paystack Index shall not be liable for losses resulting from decisions, recommendations, actions, omissions, or instructions generated by an AI Agent. For the avoidance of doubt, the limitation of liability herein applies to all transactions and service outcomes, and Paystack Index is not liable for any losses arising from the use of Index.
Unauthorised transactions. A transaction shall not be considered unauthorised solely because: (a) the User did not personally review the transaction; (b) the User disagrees with a decision made by the AI Agent; (c) the AI Agent exercised discretion granted by the User; (d) the AI Agent selected a product, merchant, quantity, or service different from the User’s subjective expectation. The User remains liable for transactions initiated by an authenticated AI Agent operating within its configured permissions.
Paystack errors. Nothing in these Terms limits Paystack’s responsibility for: (a) fraud committed by Paystack; (b) wilful misconduct; (c) failure of Paystack’s systems to execute transactions as instructed; (d) violations of applicable law.
Merchant protection. Merchants may rely on orders submitted through authenticated AI Agents. Where a merchant fulfils an order in good faith based on instructions received through Paystack Index, the merchant shall be entitled to payment and shall not be responsible for disputes arising solely from the User’s disagreement with decisions made by the AI Agent.
Revocation of authority. The User may revoke an AI Agent’s authority at any time by disconnecting the AI Agent or disabling its credentials. Revocation shall apply prospectively and shall not affect transactions initiated before the revocation becomes effective.
Audit records. Paystack may maintain records of: (a) instructions submitted by AI Agents; (b) permissions granted to AI Agents; (c) transaction logs; (d) authentication records; (e) approval workflows. Such records may be used to determine whether an AI Agent acted within its delegated authority.
Indemnity. The User agrees to indemnify and hold harmless Paystack, its affiliates, merchants, partners, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from: (a) actions of the User’s AI Agent; (b) misuse of delegated authority; (c) breach of these Terms; (d) disputes concerning any purchase initiated by the AI Agent.
3. Account registration
To create an Index account, you must sign in with your email address and complete any email verification procedures.
4. Nature of service
Restricted-purpose facility. Paystack Index provides a restricted-purpose payment facility that enables users to purchase goods and services from participating Paystack merchants within Index.
No general-purpose payments. Paystack Index is not intended or designed for general-purpose payments and may only be used within Paystack Index’s merchant ecosystem.
We assume no responsibility for any loss that you may sustain due to a compromise of your user information due to no fault of ours and/or your failure to follow or act on any notices or alerts that we may send to you.
5. Prohibited activities
You agree not to:
- Use Index for any illegal purpose, including money laundering, terrorism financing, fraud, evasion of sanctions, or unauthorised activities in violation of any law, statute or regulation in Nigeria
- Authorise an AI Agent to act in a way you would not authorise yourself
- Use Index to harass, defraud, or harm any third party
- Attempt to interfere with Index’s security or operation (probing, scanning, exploiting vulnerabilities, etc.)
- Reverse engineer, interfere with and disrupt Index or circumvent security controls
- Use the service if you appear on any sanctions list to which Paystack must adhere
- Use an AI Agent to bypass any security controls, transaction limits, approval requirements or other safeguards implemented by Index
- Connect or authorise any AI Agent that you know, or reasonably ought to know, is compromised, malicious or being used for fraudulent or unlawful purposes
6. Transaction limits and risk controls
To protect you (and us) from accidents, maintain the integrity of the restricted-purpose payment facility, and reduce the risk of fraud, misuse, or AI-hallucinated transactions, Paystack Index applies caps and rate limits as follows:
- Per-transaction caps. Each tool the AI Agent calls has a maximum amount per call, configurable by Paystack and visible at the consent screen. Default at launch: ₦5,000 for airtime, data, and bills; ₦100,000 for food orders.
- Rate limits. Per-credential and global limits prevent burst abuse.
We may modify these limits from time to time. We may reject, suspend, delay, or reverse transactions that exceed these limits or deviate from the restricted-purpose nature of the transaction or use of Index. We will notify you in-product of material changes.
Index may impose transaction limits, account restrictions, verification requirements or risk controls at its sole discretion or as required by Applicable Law. Transactions exceeding applicable limits may be rejected, delayed, suspended or subjected to additional verification procedures.
7. Data security, privacy and protection
By using Index, you consent to Paystack’s use of Personal Data for the purposes of providing the service.
Data security measures will be taken to safeguard your Personal Data including user information. We will process your Personal Data in accordance with applicable Data Protection Law including the Nigeria Data Protection Act 2023, Nigeria Data Protection Act General Application and Implementation Directive, and our Privacy Policy.
Our Privacy Policy sets out the relevant categories of personal data and other data Index collects, how it is used, processed, disclosed, and retained, as well as how Data Subjects can exercise their rights.
- We encrypt sensitive data at rest
- We do not sell your data
- You can revoke an AI Agent’s access at any time
- You can request access, deletion, or portability of your data via dpo@paystack.com
You are responsible for maintaining the security of your Index account, credentials and any connected AI Agents. You may revoke an AI Agent’s access to your account at any time through your account settings or other access management tools made available by Index.
You must not share your PIN, authentication credentials or account security information with any AI Agent or unauthorised third party.
If you suspect unauthorised access to your account, a connected AI Agent, or any transaction initiated through the Services, you must immediately revoke access where possible and notify Paystack Support. We may suspend access to the Services or take other protective measures while investigating suspected unauthorised activity.
8. Content and intellectual property
Content, intellectual property and AI-enabled actions. You may submit prompts, instructions, requests, data and other materials through Index (“User Content”). Based on your User Content and the permissions you grant, Index and any connected AI Agent may retrieve information, generate responses, provide recommendations, initiate transactions, place orders, make payments, transfer funds, interact with third-party services and perform other actions available through the Services (“Generated Content” and “Agent Actions”). User Content, Generated Content and Agent Actions are collectively referred to as “Content”.
You are solely responsible for all Content associated with your use of Index and for ensuring that such Content complies with Applicable Laws, regulations and these Terms. You represent and warrant that you have all rights, permissions and authority necessary to submit User Content, connect AI Agents to your account, authorise instructions communicated through Index and permit the processing of Content in connection with the Services.
Ownership of Content. As between you and Paystack, ownership of User Content remains with you. Subject to applicable law and any rights of third parties, you retain any rights you may have in Generated Content produced through your use of Index.
Intellectual property. Index, including its software, APIs, tools, workflows, interfaces, designs, trademarks, logos, documentation, underlying technology and all related intellectual property rights, is owned by Paystack or its licensors and is protected by applicable intellectual property laws.
Your use of Index does not grant you any ownership rights in the Services or any Paystack intellectual property. Subject to these Terms, Paystack grants you a limited, non-exclusive, non-transferable and revocable right to access and use Index solely for its intended purpose.
Except as expressly permitted by law or these Terms, you may not:
- copy, reproduce, modify or create derivative works from Index;
- reverse engineer, decompile or attempt to extract source code from any part of the Services;
- remove, alter or obscure any proprietary notices or branding;
- use Paystack’s trademarks, logos or branding without prior written permission; or
- use the Services in a manner that infringes Paystack’s intellectual property rights or those of any third party.
9. Suspension, restriction and termination
We may suspend, restrict or terminate your access to Index, with or without notice, if:
- We have reasonable grounds to believe your use is fraudulent, abusive, or unlawful
- Required to comply with a legal obligation, court order, or regulatory directive
- Your behaviour poses a risk to Index, Paystack, other users, or third parties; or
- You materially breach these Terms
You may terminate your Index account at any time by deleting it from your dashboard. Termination does not affect rights and obligations that have already accrued, including transactions already executed.
We may also terminate your account if it has been inactive for over a year. If we terminate your account due to inactivity, we will provide you with prior notice.
10. Disclaimer
Index is provided “as is” and “as available”. To the maximum extent permitted by Applicable Law, Paystack disclaims any and all warranties, express or implied, including title, merchantability, accuracy, security, fitness for a particular purpose, non-infringement and any warranty implied by course of dealing with Index.
We do not warrant that AI Agents will behave predictably or that the result of an AI Agent-initiated transaction will always match your unstated intent. You are responsible for reviewing the AI Agent’s actions and for the instructions you give.
11. Limitation of liability
To the maximum extent permitted by Applicable Law:
- Paystack is not liable for losses resulting from technical issues, errors, outages, indirect, incidental, special, consequential, exemplary, punitive damages or other damages arising out of or in connection with your usage of Index.
- Paystack shall not be liable for losses, damages, costs or expenses arising from actions, instructions, recommendations or omissions of third-party AI Agents connected to Index.
- Our total aggregate liability to you under or relating to these Terms is capped at ₦100,000.
You acknowledge that Paystack Index operates as a technology interface that enables communication and execution between multiple independent systems. Except where the loss results directly from Paystack’s gross negligence, wilful misconduct, or fraud, all risks associated with instructions submitted through connected AI Agents, Paystack Index, and third-party systems shall be borne by you.
Nothing in these Terms excludes liability that cannot be excluded by law (e.g. for death, personal injury caused by negligence, or fraud).
12. Miscellaneous
- These Terms may not be transferred or assigned by you without our prior written consent, but may be assigned by us without restriction or in connection with a merger / acquisition / asset sale, with notice.
- At our request, you agree to defend, indemnify, and hold Paystack harmless, together with its Affiliates and their respective employees, officers, directors, agents, and third-party service providers from and against any and all claims, suits, liabilities, damages (actual and consequential), losses, fines, penalties, costs, and expenses (including reasonable attorney fees) arising from or in any way related to any third-party claims relating to your participation in the Program, violation of these Terms, Applicable Law, any third-party rights, your fraud, negligence or wilful misconduct. Such indemnified parties reserve the right to assume the exclusive defence and control of any matter subject to indemnification by you, in which event you will cooperate in asserting any available defences.
- The failure of either you or us to exercise, in any way, any right under these Terms will not be deemed a waiver of any further rights hereunder. Specifically, you agree that if we do not exercise or enforce any legal right or remedy which is contained in these Terms, this will not be taken to be a formal waiver of our rights and that those rights or remedies will still be available to us.
- In the event that any provision of these Terms is determined to be unlawful, void or unenforceable, such provision shall be deemed to be severed from these Terms but shall not affect the validity and enforceability of the other remaining provisions.
- We shall not be liable for any delay or failure to perform as required by these Terms as a result of any cause or condition including but not limited to, an act of God, epidemic, pandemic, act of civil or military authorities, act of terrorists, civil disturbance, war, strike or other labour dispute, general market conditions, fire, interruption in telecommunications or internet services or network provider services, failure of equipment and/or software or any other occurrence which is beyond our reasonable control and shall not affect the validity and enforceability of any remaining provisions.
- These Terms together with all documents incorporated by reference constitute the entire agreement between you and us and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings, whether written or oral, relating to Index. Each party acknowledges that in entering into these Terms it does not rely on and shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in these Terms. Each party agrees that it shall have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in these Terms. Nothing in this clause shall exclude or restrict the liability of either party arising out of its pre-contract fraudulent misrepresentation or fraudulent concealment.
13. Dispute resolution
- If a dispute arises out of these Terms in connection with Index, the user can contact legal@paystack.com to attempt to resolve the dispute by negotiation within thirty (30) days.
- Where Paystack and the user are unable to resolve the dispute within thirty (30) days from the date of notification of the dispute, either party may refer the dispute to a competent court, sitting in Lagos, Nigeria.
- These Terms and any dispute or claim arising out of or in connection with it shall be governed by the laws of the Federal Republic of Nigeria.
14. Definitions
- “AI Agent” means any software agent, large language model, autonomous system, application, bot, assistant, or similar technology connected to Index through the Model Context Protocol (MCP), APIs, plugins, integrations, or any other mechanism.
- “Authorised Instructions” means instructions, permissions, limits, budgets, merchant restrictions, approval workflows, and other controls established by the User.
- “Applicable Law(s)” means, in respect of either party, all laws, statutes, regulations, directions, guidelines and codes of conduct of any governmental or other regulatory body of competent jurisdiction, and any orders of any court or other tribunal of competent jurisdiction within Nigeria, which are applicable to the performance by that party of its obligations or enjoyment of its rights under these Terms.
- “Connect”, “Connection” means the OAuth authorisation flow that gives an AI Agent permission to call Index tools on your behalf.
- “Data Subject” means an identifiable person; one who can be identified directly or indirectly, in particular by reference to an identification number or to one or more factors specific to his physical, physiological, mental, economic, cultural or social identity.
- “Data Protection Law” means the Nigeria Data Protection Act and any applicable legislation and/or regulation implementing or made pursuant to it, or which amends, replaces, re-enacts or consolidates any of them, and all other applicable laws relating to the processing of Personal Data and privacy that may exist in Nigeria, including, where applicable, the guidance and codes of practice issued by supervisory authorities.
- “Index” means the Paystack Index MCP server and accompanying web app, including all features described in these Terms.
- “Personal Data” means any information relating to an identified or identifiable natural person; an identifiable natural person is one who can be identified, directly or indirectly, in particular by reference to an identifier such as a name, an identification number, location data, an online identifier or to one or more factors specific to the physical, physiological, genetic, mental, economic, cultural or social identity of that natural person. It can be anything from a name, address, a photo, an email address, bank details, posts on social networking websites, medical information, and other unique identifiers such as but not limited to MAC address, IP address, IMEI number, IMSI number, SIM and others.
- “Services” means the payment, transfer, bill payment, airtime purchase and other financial services made to Paystack using Index.
- “Tool” means a discrete function the AI Agent can call (e.g.
buy_telecom,order_meal). - “You”, “your” means the natural person or business signing in to Index.
- “User” means the individual or entity that owns, controls, authorises, or benefits from the activities of an AI Agent.
